What Are the Minimum Statutory Requirements for Forming a Company in Hong Kong?

3. One Shareholder Minimum

5. Registered Office Address

6. Share Capital

There is no minimum capital requirement, but the company must issue at least one share to start. Most businesses begin with HKD 1 in share capital for each shareholder.

7. Business Registration Certificate

Within one month of incorporation, the company must apply for a business registration certificate from the Inland Revenue Department. This certificate must be renewed annually or once every three years, depending on the selected term.

8. Articles of Association

The company must adopt Articles of Association that outline its internal rules and management structure. A standard template is available from the Companies Registry, though businesses may customize it if needed.
